General Terms and Conditions for Workshops

§1 Scope; Language of the Contract

1.1 These Terms and Conditions apply to the workshops offered through our website „NEXT Mannheim“ between you and mg: mannheimer gründungszentren GmbH, Julius-Hatry-Straße 1, 68163 Mannheim (hereinafter referred to as “we”).

1.2 Any terms and conditions you propose that differ from these will not be accepted.
For information about the processing of your personal data, please refer to our Privacy Policy: https://next-mannheim.de/datenschutz/

§2 Scope of Our Services, Customer's Own Responsibility, Booking

2.1 We offer workshops based on a service contract as defined in § 611 of the German Civil Code (BGB). The respective workshop facilitators are specifically commissioned by us and have no direct contractual relationship with you. We cannot provide any warranty or guarantee that the defined goals will be achieved or that you will attain the success you desire.

2.2 Our consulting services—or those of our speakers—do not constitute medical, psychiatric, psychological, or psychotherapeutic treatment or counseling, nor do they serve as a substitute for such treatment or counseling; therefore, they are not suitable for individuals who require such treatment or support. You acknowledge that all actions taken in the course of our collaboration are solely your responsibility.

§3 Formation of the Contract

3.1 The presentation of products and offers on our website for browsing and booking does not constitute a legally binding offer, but rather an invitation to make a booking (invitatio ad offerendum).

3.2 By clicking the „Book with Payment“ button in the final step of the ordering process, you are submitting a binding offer to book the workshops displayed in the order summary. Immediately after submitting your order, you will receive a confirmation of your booking, which constitutes the formation of a contract between you and us. Please check the spam folder in your email inbox regularly.

§4 Technical Steps Leading Up to the Conclusion of the Contract and Correction of Data Entry Errors

As part of the booking process, you first select the workshop you want for the desired date and in the desired quantity. After making this selection, you’ll be asked to enter your name, contact information, and industry. Once you’ve entered this information and clicked „Confirm,“ the selected service will be added to your cart, and you’ll be redirected to the cart page. You can cancel the booking process here by clicking the X to the left of the workshop title. Your shopping cart will then be emptied. Otherwise, clicking the „Proceed to Checkout“ button will take you to a page where you can enter your additional information and then select your payment method. There, you must confirm that you are waiving any right of withdrawal you may have, and then you can place a binding order by clicking „Place Order with Payment.“ You will then be guided through the payment process. If you wish to cancel the booking process entirely, you can simply close your browser window. Otherwise, clicking the „Place Binding Order“ button constitutes your binding declaration within the meaning of Section 3.2 of these Terms and Conditions.

§5 Storage of the Contract Text

The terms of the contract, including details of the services you have booked, these General Terms and Conditions, and the cancellation policy, will be sent to you by email upon acceptance of the contract offer. We do not store the terms of the contract.

§6 Cancellation of the Workshop; Cancellation by Participants

6.1 We reserve the right to cancel the workshop if the minimum number of participants required to hold it is not reached. If we cancel the workshop, we will refund the fee you paid. You have no further claims if the cancellation is not our fault.

6.2 You may cancel your reservation free of charge up to 5 business days before the workshop begins. After that, you must pay the full amount, unless you are entitled to a right of withdrawal (see Section 7). In that case, the statutory provisions apply.

§7 Right of Withdrawal When Booking a Workshop

If you enter into a contract with us as a consumer (Section 13 of the German Civil Code (BGB)), you have the right to cancel your workshop booking in accordance with the following notice. A consumer is any natural person who enters into a legal transaction for purposes that are predominantly neither commercial nor related to their self-employed professional activity.

Important Note:

When you booked the workshop, you expressly agreed that we would begin performing the contract before the end of the cancellation period, and you acknowledged that, by giving this consent, you would lose your right to cancel once we begin performing the contract.

Right of Withdrawal

Right of Withdrawal

You have the right to cancel this contract within fourteen days without giving any reason.

The cancellation period is fourteen days from the date the contract is concluded.

To exercise your right of withdrawal, you must notify us (mg: mannheimer gründungszentren GmbH, Julius-Hatry-Straße 1, 68163 Mannheim, Phone: +49 621 33 99 21 00, Email: info@next-mannheim.de) by means of a clear statement (e.g., a letter sent by mail, fax, or email) regarding your decision to withdraw from this contract. You may use the attached sample withdrawal form for this purpose, though its use is not required.

To comply with the cancellation period, it is sufficient for you to send the notice of your intention to exercise your right of cancellation before the cancellation period expires.

Consequences of the Revocation

If you withdraw from this contract, we must refund to you all payments we have received from you, including delivery costs (except for any additional costs resulting from your choice of a delivery method other than the least expensive standard delivery option we offer), without delay and no later than fourteen days from the day on which we receive notice of your withdrawal from this contract. We will use the same payment method you used for the original transaction for this refund, unless expressly agreed otherwise with you; in no event will you be charged any fees in connection with this refund. If you have requested that the services begin during the withdrawal period, you must pay us a reasonable amount corresponding to the proportion of the services already provided up to the time you notify us of your exercise of the right of withdrawal with respect to this contract, compared to the total scope of the services provided for in the contract.

§8 Liability

We shall be liable, regardless of the legal basis, exclusively in accordance with the provisions set forth below.

8.1 We are liable only for willful misconduct and gross negligence. We are liable for slight negligence only in the event of a breach of a material contractual obligation, the fulfillment of which is essential for the proper performance of the contract and on the observance of which you may reasonably rely (cardinal obligation). In such cases, we are liable only for foreseeable damages that would typically be expected to occur. This also applies to lost profits and lost savings. Liability for other indirect consequential damages resulting from defects is excluded.

8.2 The limitation of our liability does not apply in cases of injury to life, body, and/or health, or in cases of liability under the Product Liability Act.

8.3 We shall not be liable for events of force majeure that render the contractual services impossible or that significantly impede or temporarily hinder the proper performance of the contract. Force majeure includes all circumstances beyond the control and influence of the contracting parties, such as terrorist attacks, embargoes, seizures, natural disasters, strikes, decisions by government authorities, or other serious and unforeseeable circumstances for which the contracting parties are not at fault. A circumstance shall only be considered a force majeure event if it occurred after the conclusion of the contract.

8.4 Furthermore, we are not liable for disruptions or a loss of data quality during Internet data transmission that are beyond our control and that hinder or prevent the use of the services covered by this contract.

8.5 To the extent that our liability is excluded or limited, this also applies to the liability of our employees, other staff members, agents, and vicarious agents.

§9 Language of the Contract

The language of the contract is German. All communication between the contracting parties shall be conducted in German.

§10 Governing Law; Mandatory Consumer Protection Provisions

German law applies to the contracts concluded between us and our customers on the basis of these General Terms and Conditions, to the exclusion of the UN Convention on Contracts for the International Sale of Goods. Mandatory consumer protection provisions under the law of the country in which a customer who is a consumer has his or her habitual residence remain unaffected by this. A consumer is any natural person who enters into a legal transaction for purposes that are predominantly neither commercial nor related to their self-employed professional activity.

§11 Jurisdiction, Online Dispute Resolution, Consumer Dispute Resolution

11.1 If the customer is a merchant, a legal entity under public law, or a special fund under public law, the exclusive place of jurisdiction for all disputes shall be our place of business (currently Mannheim, Germany). The same applies if the customer does not have a general place of jurisdiction in Germany or if the customer’s domicile or habitual residence is unknown at the time the action is filed.

11.2 The European Commission provides a platform for online dispute resolution (ODR) for consumers. You can access it at: http://ec.europa.eu/consumers/odr/ can reach us. Our email address is info@next-mannheim.de

11.3 We are not obligated to participate in dispute resolution proceedings before a consumer arbitration board, and we are generally not willing to do so.

§12 Severability Clause

If any provision of these Terms and Conditions is wholly or partially invalid or unenforceable, or becomes invalid or unenforceable after the conclusion of the contract, the validity of the remaining provisions of these Terms and Conditions shall remain unaffected. This applies mutatis mutandis in the event that any provisions prove to be incomplete.
